SLEEP™ Token – Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the SLEEP token, the related smart contracts and protocols, and any associated websites, applications, interfaces, or services that we operate and that link to these Terms, including without limitation sleeptoken.io, 333am.io, and app.333am.io (collectively, the “SLEEP Interface”).
References to “we,” “us,” “our” or “SLEEP” (other than as a reference to one or more SLEEP tokens, as the context requires) mean Philadelphia Technologies LLC d/b/a Praxis Technologies, LLC, a limited liability company organized under the laws of the Commonwealth of Pennsylvania, and its affiliates. References to “you” or “User” mean the person or entity accessing or using the SLEEP Interface or interacting with the SLEEP smart contracts.
By accessing or using the SLEEP Interface, holding SLEEP tokens, or interacting with any SLEEP-related smart contract, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the SLEEP Interface or interact with SLEEP smart contracts.
Nothing in these Terms or on the SLEEP Interface constitutes legal, tax, financial, or investment advice.
1. Scope of These Terms

These Terms apply to your use of:
- The SLEEP token (an ERC-20 token deployed on the Ethereum network).
- Smart contracts and related on-chain functionality that support SLEEP, including but not limited to token burn-and-reward mechanisms, staking contracts, and reward distribution contracts (collectively, the “SLEEP Protocol”).
- The SLEEP Interface, including any front-end websites or applications we operate that read from or write to the SLEEP Protocol.

The current SLEEP whitepaper (the “Whitepaper”) describes the intended purpose and functionality of SLEEP and the SLEEP Protocol. The Whitepaper is provided for informational and conceptual purposes only and does not form a binding agreement with you. In the event of any conflict between the Whitepaper and these Terms, these Terms control.
2. Eligibility and User Representations

Minimum age. You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use the SLEEP Interface or interact with the SLEEP Protocol.

Legal capacity and compliance. By using the SLEEP Interface or interacting with the SLEEP Protocol, you represent and warrant that:
- You have full legal capacity and authority to enter into and comply with these Terms.
- Your use of SLEEP is not prohibited or restricted by any law, regulation, or rule applicable to you.
- You are not located in, organized under the laws of, or ordinarily resident in any jurisdiction where accessing or using SLEEP or the SLEEP Interface is restricted, prohibited, or would require registration, licensing, or other authorization we have not obtained.
- You are not subject to any sanctions or listed on any sanctions list administered by the United States, the European Union, the United Kingdom, or any other relevant authority.

Responsibility for local laws. You are solely responsible for understanding and complying with all laws, rules, and regulations that may apply to your access to and use of SLEEP, including those related to digital assets, anti-money laundering, counter-terrorist financing, sanctions, tax, and securities.
Nothing in these Terms is intended to limit any non-waivable rights you may have under applicable law in the Commonwealth of Pennsylvania or your local jurisdiction.
3. Description of SLEEP and the SLEEP Protocol

SLEEP Token. SLEEP is an ERC-20 token on the Ethereum blockchain designed as a utility token within the SLEEP ecosystem. SLEEP may be used within the SLEEP Protocol as described in the Whitepaper, including but not limited to:
- Receiving SLEEP tokens in exchange when you permanently burn certain eligible NFTs or ERC-20 tokens.
- Participating in staking or similar programmatic reward mechanisms, if and when such features are available.
- Other ecosystem utilities that may be introduced or modified over time.

No rights in the Company. SLEEP tokens do not represent or confer:
- Any ownership, equity, shareholding, or similar interest in any entity.
- Any voting rights in any company or legal entity.
- Any right to share in profits, revenue, or assets of any entity.
- Any claim, debt, or other obligation owed by us or any third party.

Burn-and-reward mechanism. Subject to the SLEEP Protocol’s rules and smart contract logic, Users may choose to irreversibly “burn” certain NFTs or tokens in exchange for SLEEP rewards, typically calculated with reference to external pricing data (e.g., via oracles) and protocol parameters. The availability, form, and amount of any SLEEP to be distributed is determined programmatically by the relevant smart contracts and may be changed, paused, or discontinued at any time.

Staking and programmatic rewards. If staking, lockups, yield, or other reward mechanisms are offered via the SLEEP Protocol:
- Rewards, yields, or APR/APY figures (if displayed) are indicative only and not guaranteed.
- All returns are subject to smart contract, protocol configuration, market conditions, and network fees.
- We may add, modify, or discontinue any such programs in our discretion.

Non-custodial design. The SLEEP Protocol and SLEEP Interface are designed to be non-custodial. You must use your own compatible, non-custodial digital wallet. We do not at any time take possession of or assume control over your private keys or digital assets. All transactions are executed on the Ethereum blockchain and are irreversible once confirmed.
4. No Investment Advice; No Offer or Solicitation

Informational only. Content on the SLEEP Interface, the Whitepaper, and any communications we make (including on social media) are provided for general informational and educational purposes only. Nothing is or should be construed as:
- Financial, investment, legal, or tax advice; or
- A recommendation to buy, sell, hold, or otherwise interact with any token, NFT, or digital asset (including SLEEP).

No securities or offering document. The SLEEP token and the SLEEP Protocol are not intended to constitute securities, collective investment schemes, or any other regulated financial product in any jurisdiction. These Terms, the Whitepaper, and any marketing materials are not a prospectus, offering memorandum, or any other form of offering document.

Your own assessment. You are solely responsible for:
- Conducting your own research and due diligence on SLEEP, NFTs, and other digital assets.
- Evaluating the risks before interacting with SLEEP or the SLEEP Protocol.
- Obtaining independent legal, tax, and financial advice where appropriate.
5. Digital Asset Risks
By using SLEEP or the SLEEP Protocol, you acknowledge and accept, without limitation, the following risks:

Volatility. Digital assets, including SLEEP and NFTs, are highly volatile and may lose all value. Past performance is not indicative of future results.

Smart contract and technical risks. Smart contracts may contain bugs, vulnerabilities, or exploits that could be discovered at any time. These could lead to partial or total loss of tokens, NFTs, or rewards. Smart contracts operate autonomously and may behave in ways that are unexpected or unintended.

Oracle and data risks. Any pricing, floor value, or other data used to determine SLEEP rewards may be supplied by third-party services or oracles. Such data may be delayed, inaccurate, manipulated, unavailable, or compromised. This can impact reward calculations and protocol behavior.

Network and fee risks. Ethereum network congestion, failures, forks, or changes (e.g., protocol upgrades) may affect your ability to transact, claim rewards, or interact with SLEEP. Gas fees can be unpredictable and may be substantial.

Regulatory risks. Laws and regulations governing digital assets are evolving, including in the United States and any state. New rules or interpretations may adversely affect the legality, use, value, or availability of SLEEP, NFTs, or the SLEEP Protocol, and may require modification, restriction, or discontinuation of services.

Security and custody risks. If you lose access to your wallet, private keys, seed phrase, or other credentials, you may permanently lose access to your SLEEP tokens, NFTs, and rewards. We cannot recover or restore such access.

No guarantees. There is no guarantee that:
- The SLEEP Protocol will operate as described in the Whitepaper or on the SLEEP Interface.
- Any particular reward rate or mechanism will continue to be available.
- SLEEP will have or maintain any particular value, liquidity, or market.
6. User Responsibilities

Wallets and keys. You are solely responsible for:
- Maintaining the security of your wallet, private keys, seed phrase, and credentials.
- Ensuring that your wallet is compatible with SLEEP and any smart contracts you interact with.
- Backing up your wallet and related information.
We do not store, have access to, or recover your private keys or seed phrase.

On-chain transactions. You understand and agree that:
- All interactions with the SLEEP Protocol occur on-chain via transactions you sign and broadcast.
- Transactions, including burns and transfers, are irreversible once confirmed on the blockchain.
- You are responsible for verifying transaction details (including contract addresses and amounts) before signing.

Ownership and authority. You represent and warrant that you have full rights and authority over any NFTs or tokens you choose to burn or otherwise interact with via the SLEEP Protocol, and that your actions do not violate any rights of third parties.

Compliance and lawful use. You agree not to use SLEEP or the SLEEP Interface:
- In connection with any unlawful, fraudulent, or harmful activity.
- To evade or violate sanctions, anti-money laundering, or counter-terrorist financing laws.
- To engage in market manipulation, wash trading, or other abusive trading practices.
- In any manner that could damage, disable, or interfere with the SLEEP Interface or SLEEP Protocol.
7. Third-Party Services and Links

Third-party wallets and tools. You may access SLEEP or the SLEEP Protocol using third-party wallets, interfaces, dApps, marketplaces, bridges, or other tools. These are not operated or controlled by us. Your use of third-party services is at your own risk and subject to those third parties’ terms and policies.

No endorsement or responsibility. We do not endorse, and are not responsible or liable for:
- Any third-party services, content, or websites.
- Any harm, loss, or damage arising from your use of or reliance on them.
8. Rewards, Burns, and Staking

Burning is permanent. When you burn an NFT or token via the SLEEP Protocol, the burn is permanent and cannot be reversed. You will not be able to restore or reclaim the burned asset.

Reward calculations. Any SLEEP resulting from burns, staking, or other protocol actions are determined automatically by the SLEEP smart contracts according to parameters that may include:
- Market or floor price data.
- Protocol-defined reward multipliers or formulas.
- Limits, caps, or eligibility conditions.
We do not guarantee any specific reward amount or reward schedule.

Staking and lockups. If you stake SLEEP or other assets via the SLEEP Protocol:
- You may be unable to withdraw your staked assets for a certain period, subject to the smart contracts’ rules.
- Early withdrawal (if permitted) may be subject to penalties, reduced rewards, or fees.
- All yields and rewards are subject to change and may be increased, reduced, or discontinued at any time.

Protocol changes and pauses. We may update, modify, pause, or disable parts or all of the SLEEP Protocol or SLEEP Interface at any time, including in response to security issues, governance decisions, or regulatory developments. Such actions may impact your ability to claim rewards, stake, burn assets, or otherwise interact with SLEEP.
9. Taxes
You are solely responsible for determining and fulfilling any tax obligations that arise from your acquisition, holding, burning, staking, or disposal of SLEEP or other digital assets, including reporting and paying any applicable income, capital gains, state, local, federal, or other taxes. We do not provide tax advice and are not responsible for determining or reporting your tax obligations. We do not have access to your personally protected information at any time in connection with your use of the SLEEP Interface.
10. Intellectual Property

Our IP. We (or our licensors) own all rights, title, and interest in and to:
- The SLEEP and 333AM names, logos, and trademarks.
- The SLEEP Interface design, text, graphics, and other content (excluding open-source components and blockchain data).
- Any proprietary code or software used to operate the SLEEP Interface.
To the extent required by law only, you are deemed granted a limited, revocable, non-exclusive, non-transferable license to access and use the SLEEP Interface solely for its intended purposes and in accordance with these Terms.

Restrictions. You may not, without our prior written consent:
- Copy, modify, distribute, or create derivative works of the SLEEP Interface or proprietary content.
- Use our trademarks, logos, or branding in any way that implies endorsement or sponsorship.
- Use data mining, scraping, or similar tools to extract data from the SLEEP Interface (except as permitted by applicable open-source or blockchain norms).

User submissions and feedback. If you provide us with feedback, suggestions, or other content related to SLEEP (collectively, “Feedback”), you grant us a perpetual, irrevocable, non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and create derivative works from such Feedback for any purpose, without compensation to you.
11. Disclaimers

“As is” and “as available.” To the maximum extent permitted by law, SLEEP, the SLEEP Protocol, and the SLEEP Interface are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

No guarantee of availability or performance. We do not warrant that:
- The SLEEP Interface or SLEEP Protocol will be available, uninterrupted, secure, and error-free.
- Any defects will be corrected.
- Any particular features, utilities, or rewards will always be available.

No responsibility for blockchain or third parties. We are not responsible for:
- The operation of the Ethereum network or any other blockchain.
- Any third-party services, wallets, interfaces, or oracles.
- Any acts or omissions of third parties.
Nothing in this Section 11 is intended to limit any specific warranty or right that cannot be excluded or limited under applicable law.
12. Limitation of Liability
To the maximum extent permitted by law:

We and our affiliates, officers, directors, employees, and agents will not be liable to you for any:
- Indirect, incidental, special, consequential, exemplary, or punitive damages; or
- Loss of profits, revenue, data, goodwill, or opportunity,
arising out of or in connection with your use of or inability to use SLEEP, the SLEEP Protocol, or the SLEEP Interface, even if we have been advised of the possibility of such damages.

Our aggregate liability to you for any claims arising out of or related to SLEEP, the SLEEP Protocol, the SLEEP Interface, or these Terms will not exceed, in the aggregate, the greater of:
- The amount you have paid directly to us (if any) in connection with your use of the SLEEP Interface during the twelve (12) months preceding the event giving rise to the claim; or
- US$100.
Some jurisdictions, including potentially the Commonwealth of Pennsylvania, do not allow the exclusion or limitation of certain damages. In such cases, the limitations in this Section 12 apply only to the extent permitted by applicable law.
13. Indemnification
You agree to indemnify, defend, and hold harmless us and our affiliates, and our respective officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your access to or use of SLEEP, the SLEEP Protocol, or the SLEEP Interface.
- Your violation of these Terms or any applicable law or regulation.
- Your infringement or violation of any rights of any other person or entity.
14. Changes to Terms and Protocol

Changes to Terms. We may update or modify these Terms at any time, in our discretion. When we do so, we will update the “Last updated” date at the top of these Terms. Your continued use of SLEEP or the SLEEP Interface after any changes to these Terms constitutes your acceptance of the revised Terms.

Changes to SLEEP Protocol or Interface. We may update, modify, fork, discontinue, or suspend the SLEEP Protocol or SLEEP Interface (in whole or in part) at any time, including for security, legal, technical, or operational reasons, without liability to you.
15. Suspension and Termination
We may, at our discretion and without prior notice, suspend or restrict your access to the SLEEP Interface (including via technical measures such as geo-blocking, wallet blacklisting, or other controls) if we believe:
- You have violated these Terms or applicable law; or
- Such action is reasonably necessary to protect the SLEEP Protocol, other users, or us from risk, harm, or liability.
Due to the permissionless nature of the Ethereum network, we may not be able to fully prevent you from interacting directly with the underlying smart contracts, but we may restrict your access to the SLEEP Interface and related services we control.
16. Governing Law and Dispute Resolution

Governing law. These Terms and any dispute arising out of or relating to them or to SLEEP, the SLEEP Protocol, or the SLEEP Interface shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws rules.

Venue. You agree that any legal action or proceeding arising out of or relating to these Terms or your use of SLEEP, the SLEEP Protocol, or the SLEEP Interface shall be brought exclusively in:
- The state courts of the Commonwealth of Pennsylvania, located in Philadelphia County; or
- The United States District Court for the Eastern District of Pennsylvania,
and you hereby consent to the personal jurisdiction and venue of such courts. Nothing in this Section 16 is intended to limit any right you may have under mandatory consumer protection laws that provide for alternative venues or dispute-resolution mechanisms.
17. Miscellaneous

Entire agreement. These Terms constitute the entire agreement between you and us with respect to the subject matter hereof as of the date above and supersede all prior and contemporaneous understandings or agreements regarding SLEEP as between you and us.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid, illegal, or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable, consistent with the intent of the original provision and applicable law.

No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of such right or provision.

Assignment. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
Key Risks & Disclosures for Users
SLEEP should be considered an experimental, early-stage, ERC-20 utility token used within the SLEEP ecosystem. Interacting with SLEEP and the SLEEP Protocol involves significant risks, including the potential loss of all value of your tokens and NFTs. Smart contracts, oracles, and blockchain networks may fail, be attacked, or behave in unexpected ways.
Nothing on this website, in the SLEEP Whitepaper, or in any related communication is financial, investment, tax, or legal advice, and nothing here constitutes an offer or solicitation to buy or sell any security or other regulated financial product. You are solely responsible for determining whether and how to use SLEEP under the laws of the jurisdiction to which you are subject.
Before acquiring SLEEP tokens, burning NFTs or tokens, or participating in any rewards or staking programs, you should carefully review the above SLEEP Terms and Conditions and Risk Disclosures, perform your own research, and consider seeking independent professional advice.
